Terms of Service

These Terms and Conditions govern the use of all products and services provided by CodeCard, including the website "codecard.cloud" and its content. This includes documents such as CodeCard's Terms of Use (TOS), Domain Name Registration Policy, Privacy Policy, and Data Processing Agreement.

BY USING CODECARD'S WEBSITE (AND ITS CONTENT) AND/OR PRODUCTS AND/OR SERVICES, YOU ACCEPT THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, OR DO NOT WISH TO BE BOUND BY THEM, DO NOT USE CODECARD'S PRODUCTS OR SERVICES.

CodeCard's website, as well as its content, products, and services, are available to any adult person who is legally capable of entering into binding agreements. CodeCard reserves the right to request proof of compliance with these criteria when accessing all (or some) of its services/products, in the form of identification or contact details.

These Terms of Use are between Us and the Users, and no other person is entitled to benefit from them.

If any court or regulatory authority decides that any provision of these Terms of Use is invalid or unenforceable, such provision shall be severed and deleted from these Terms of Use, and the remaining Terms and Conditions shall continue to be in full force.

If the Terms of Use do not align with the Terms and Conditions mentioned in your registration with CodeCard (if registration exists), the Terms of Use prevail, unless otherwise specified through additional documentation provided by CodeCard's Customer Service Department.

1. Terminology

Whenever found in the Terms and Conditions, "You", "Your" and "User" refer to you, the User of CodeCard's website and its content, products, or services, and "Yours" shall be construed accordingly. Additionally, "We", "Us" and "CodeCard" refer to CodeCard, and "Our" or "CodeCard's" shall be interpreted accordingly. "User Information" refers to personal information that may be collected by Us on the website codecard.cloud and/or during the registration process and/or acquisition of any CodeCard services or products. "Our Website" refers to the website "codecard.cloud" and all subpages related to it. However, "CodeCard Website" refers to Our Users' Websites that have been created using the CodeCard platform. As "Third Party/Person/Entity" or "Third Parties", we refer to any person/entity/company not related to CodeCard and GricGroup S.A.

2. Available Services

Premium Services

If you consider that you need increased storage space, to register a domain name, or to have customized design based on your preferences, you can use our Premium services. Currently, these include the features mentioned above as well as Premium Customer Service, the ability to create and recover backups, more statistics, and many more services that are either already available or are under implementation.

3. Paid Services

Pricing

All services have a set price or price range, resulting from the value of the features offered, taking into account the time spent on producing them. These prices can be adjusted taking into account market changes or temporarily replaced by special/promotional prices. All our prices are in euros € and are displayed WITHOUT VAT.

Acquisition of Premium Services

All our services are available on our website. For more information on acquiring our services, you can contact the Customer Service Department.

4. Domain Name (Paid Service)

Domain Name Registration and Ownership

The person or entity that registers a domain name is the legal owner. If, however, You (the domain owner) decide not to renew a domain registration, CodeCard is not responsible for problems or issues that may arise after the expiration of its registration period. Additionally, you should be aware that not all domain types have a waiting period, and therefore if you do not renew a domain, you may lose it due to registration by another Internet user. Each domain is locked by default and cannot be transferred to another provider. Unlocking it can be done upon request of the domain owner or through the customer area.

The owner of a domain name, of any extension, is responsible for monitoring the expiration date of their domain name and for completing its renewal, if desired, from our customer area. CodeCard cannot be held responsible for the expiration of a domain name and the deactivation of various services as a consequence.

Domain Renewal

A domain can be renewed at any time within the subscription, from the registration date to the day before the listed expiration date, as defined in the customer area. The expiration date refers to the day your domain will become inactive, ceasing to function. Domain Renewal is considered valid when the Payment date precedes the expiration date. The payment date is defined when the selected payment entity (i.e., the provider of the payment method) confirms the successful arrival of the payment. If the Domain Renewal is not paid on time, the domain enters the so-called Quarantine period. You can recover a domain from the quarantine period, with an additional charge. In the case of gTLDs (generic top level domain - e.g., com, net, org) the recovery price amounts to 100 EUR. The recovery price for other TLDs may vary, starting from 100 EUR.

Cancellation of Registration

Domains are the property of the User who registers them from the moment of the completion of the purchase. Therefore, registration cannot be revoked, and compensation is not possible.

Private Domain Registration

You can register a domain name and maintain your anonymity as a method of avoiding SPAM (unwanted email messages), or to avoid being listed in databases. During the registration process, you are asked to complete your contact details, but this only happens for billing purposes (e.g., for creating an invoice). The provided information will not be published elsewhere. The private domain registration service is provided by, and is in compliance with, the Terms of Use of Anonymouse Domains, s.r.o., with Registration Number: 28296800 and registered office at Hlinky 995/70, Staré Brno, 603 00 Brno, or another Third Entity.

5. Contract and Contract Revocation

Contract

Every time a payment is successfully completed, a binding contract begins between You and CodeCard. A payment is defined as "successfully completed" when the full amount has been deposited and an invoice has been created in your CodeCard account management, in the "Services and Invoices" menu. There is a 15-day period during which you can request the cancellation of a service and your compensation. However, this process is subject to specific criteria and rules (see Paragraph 6.5).

Contract Revocation

You can at any time request the revocation and cancellation of any service if you do not intend to request compensation for the amount paid. Keep in mind that revocation, acquisition of services, as well as any requests for changes to current services (i.e., anything that affects the functionality of your services) should be made by You (the project owner) in writing (via email), and from the email address you used for your registration and the creation of the project in question.

Contract Duration

The acquisition of website packages is valid for a period of 1 to 10 years. Domains have a minimum registration period of 1-2 years (depending on the provider's terms) and a maximum of 10 years. For other services, the contract ceases to be valid at the end of the service provision unless it is related to their payment completion.

6. Payments and Compensations

Payment Methods

You can acquire our services using Credit Card, PayPal, bank transfer, as well as other local payment methods (including direct deposit to CodeCard's bank account).

In the case of payments with bank transfer, you can find the necessary information on the "Payment Methods" subpage. Also, keep in mind that further commission charges arising from your bank should be paid by You and not by CodeCard.

Note: You are responsible for correctly filling in your details in the payment application. Please make sure that all fields are filled in and the information within them is accurate. CodeCard is not responsible for unsuccessful payment requests due to incorrect or insufficient User data.

Payment Processing

By using your credit card or PayPal to make a payment, you authorize CodeCard (either directly or through partners, subsidiaries, or Third Parties) to collect the payment from your card or account.

CodeCard does not keep or store credit card information. Payments via debit or credit cards are completed in the secure environment of Piraeus Bank.

Recurring Payment (Automatic Renewal)

By using your credit card or PayPal to make a payment, automatic renewal capability may be activated. The frequency of renewal can be monthly or annual, depending on the payment method you have chosen. For annual renewals, the amount is charged before the expiration date of the service you have activated.

You can cancel the automatic renewal at any time in the "Management" of your project. With automatic renewal active, you authorize CodeCard to receive payment from your card or PayPal account until you cancel the service.

Payment Date and Activation Date

The payment date is defined with the confirmation of successful receipt of the required amount from the selected payment entity (i.e., the provider of the payment method). In the case of payments made via Credit Card or PayPal, the amount is immediately committed from your account. This means that the payment date and the activation date are the same, except in cases where the payment must, for any reason, be completed manually. In this case, activation may delay a few days.

Compensation Requests

All services, with the exception of domain registration, are compensatable for a period of 15 days from the activation date. Compensation is only possible for the first purchase of services. CodeCard will not compensate further purchases/renewals, including their Automatic Renewal through the Recurring Payment service. Also keep in mind that discount codes (vouchers) are in no case compensatable.

Compensation for already registered domains is not possible. In the case where you have received a discount code (voucher) for a free domain after activating your service and request compensation after the domain registration, the compensation amount will equal the cost of your package minus the cost of the domain.

If -- in the case of an online advertising campaign -- any Third Entity (e.g., Google) decides to ban the campaign due to a controversial advertised service/product, compensation is not feasible. In this case, CodeCard is not responsible for any financial losses of the User.

To request revocation of your contract, you should send an email to Our Customer Service Department (see Paragraph 5).

For the cancellation of website packages within the 15-day period, no justification is required on Your part, however, we encourage Our Users to provide it for information and improvement of our services.

In the case of a cancellation request for any Premium service, excluding website packages and domain names, you are obliged to provide justification for the request. For all the cases mentioned above, the reasons that can lead to compensation requests are:

  • Complete cessation of any service
  • Recurring technical problems that hinder the smooth operation of Your project
  • Failure to provide a service for which the required amount has been paid (with confirmation of payment)

Note: CodeCard reserves the right to examine the reasons for the cancellation request you have submitted and to decide on the acceptance or rejection of your request.

Date and Method of Compensation

The compensation of the amount you have paid is completed within 60 days, starting from the date of notification to CodeCard for the pending compensation and will be paid through the same payment method you have used for payment (with the exception of direct deposit cases) or through a non-compensatable discount coupon in the amount of the payment. The deactivation of your services takes place simultaneously with the compensation.

7. Acceptable Use

Content

You will not publish on, or distribute through, CodeCard websites any content that may be considered defamatory, threatening, obscene, harmful, or is pornographic or of another illegal nature. Also, content that in some way violates or affects in any way Our rights or the rights of others (including, but not limited to, intellectual property rights, privacy rights, and rights to privacy) is absolutely prohibited, as is any activity that may cause danger or annoyance to Us or others. In addition, you cannot express views that are considered vulgar, sexist, racist, or offensive. We encourage Users to treat each other with respect and courtesy.

Content Ownership

You will not republish or redistribute in any way, material on a CodeCard website, without the express consent of the legal owner of the said material.

Participation in Events

You must comply with the rules of any contest, promotional or advertising campaign taking place on the CodeCard Website and in which you participate.

Interference

You will not display or cause any behavior or action that may affect the functionality or security of the CodeCard website, nor will you cause undue annoyance and disruption to Our staff.

Identity

You will not impersonate another person/entity, nor will you falsely present the relationship you have with a person/institution.

SPAM

You will not promote your website on CodeCard by sending spam (i.e., messages sent to email accounts without the consent of the account holder).

Robot Software

You will not use robot software (nor any other software not belonging to CodeCard) to create new CodeCard websites or to gain access with the purpose of modifying CodeCard websites.

Alternative Ways of Operation

You will not use any kind of bypass in order to overcome package restrictions or restrictions of any service or function of CodeCard.

8. Intellectual Property

Any material copyrighted by intellectual property rights, trademarks as well as other intellectual property rights of materials or contents provided as part of the CodeCard Website always remain under Our jurisdiction. You are not allowed to use this material or content without Our permission or that of Our licensors. However, you are allowed to use such material only in the manner described in the Terms and Conditions, and no other. You will not copy, reproduce, make available, exploit commercially, nor will you have any form of benefit/profit from such material or content, nor will you help/facilitate Third Parties in actions, such as those mentioned above.

Furthermore, if you notice any such attempt at distribution or commercial exploitation, you agree that you will notify Us immediately.

9. Protection of Personal Data

All User information is collected and processed in accordance with, and taking into account the restrictions set out in, Our Privacy Policy.

10. Violation of Our Terms of Use

Failure to comply with the terms mentioned in Article 7 and/or participation in activities that contradict or violate these Terms of Use, make you subject to disciplinary and legal prosecution. The decision on any disciplinary measures (which include but are not limited to the discontinuation of all services), falls within the discretion of CodeCard.

Please report any violations of these Terms of Use, Our Terms and Conditions, or your local legislation.

11. Interruption/Termination of Services

We reserve the right to terminate immediately or to interrupt indefinitely Our services to You, if you violate -or if we have reasonable grounds to believe that it is very likely that you will violate- Our Terms and Conditions. Also, we will terminate Our services to You, if in Our absolute judgment, you engage in behaviors that can be characterized as impermissible.

12. Disclaimers

WE BEAR NO RESPONSIBILITY FOR ANY DAMAGES THAT MAY OCCUR TO USERS OR THIRD PARTIES OR THEIR MATERIAL (HARDWARE) DIRECTLY, INDIRECTLY OR ACCIDENTALLY, FROM THE USE OF OUR SERVICES AND/OR PRODUCTS, INCLUDING THE DOWNLOADING OF MATERIAL THROUGH OUR SERVICES. WE ARE NOT RESPONSIBLE FOR DAMAGES TO USERS OR THIRD PARTIES AS A CONSEQUENCE OF THE INABILITY TO USE OUR SERVICES AND/OR OUR WEBSITE AND/OR OUR PRODUCTS, DIRECTLY OR INDIRECTLY.

THEREFORE, YOUR USE OF OUR SERVICES IS DONE WITH YOUR OWN JUDGMENT AND RESPONSIBILITY AND YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER OR OTHER DEVICE, AS WELL AS FOR LOSS OF DATA RESULTING FROM THE DOWNLOADING OF ANY MATERIAL.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE CODECARD WEBSITE, OUR SERVICES AND PRODUCTS IS AT YOUR OWN RISK AND THAT THE CODECARD WEBSITE, SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". ALSO, YOU ACKNOWLEDGE AND AGREE THAT WE ARE NOT RESPONSIBLE FOR THE AVAILABILITY AND/OR OPERATION OF ANY THIRD-PARTY WEBSITE OR MATERIAL TO WHICH YOU HAVE ACCESS THROUGH THE CODECARD WEBSITE.

Third Persons

We do not support and bear no responsibility for any content, advertising, product, or service available through Third-Party Websites.

Any transactions between You and Third Parties found on a CodeCard Website or through it, including payment and delivery of products, services, and any other terms, provisions, authorizations, or representations related to such transactions, are made between You and the entity in question. Therefore, we are neither competent nor responsible for any losses/damages of any kind, that occurred during such transactions.

Warranty Exclusions

CodeCard, its subsidiaries, and its licensors do not represent or guarantee that:

  • By using the services and products, you will meet your requirements
  • The use of services and products will be continuous, timely, secure, or free from errors or viruses
  • Any information received by You as a consequence of using CodeCard's services and products, will be verified or reliable
  • Any defects in the operation or functionality of any software provided to You as part of the services will be corrected
  • No advice or information --either verbal or written-- that you have received from CodeCard, through, or from Our services constitutes a guarantee, unless explicitly mentioned in the terms.

CodeCard further expressly disclaims warranties and terms of all kinds, whether express or implied, which include -but are not limited to- warranties and terms of merchantability, the ability of a specific purpose, and non-infringement.

13. Limitation of Liability

General

Any direct, indirect, incidental, additional consequential, or exemplary damages may be caused by You, however caused, and under any theory of liability. This includes, but is not limited to, any loss of profit (whether direct or indirect), any loss of goodwill or business reputation, any loss of data, as well as the cost of supplying goods or services or other intangible loss.

Any loss or damage that may be caused by You, including but not limited to loss or damage as a result of:

  • Any trust on Your part in the completeness, accuracy, or existence of any advertisement, or as a result of any relationship or transaction between You and any advertiser or sponsor, whose advertisements appear on the services
  • Any changes that CodeCard may make to the services, or for any permanent or temporary interruption in the provision of the services (or any elements within the services)
  • Deletion, alteration, or failure to store any content and other communication data maintained or transmitted by or through the use of the services
  • Your failure to provide CodeCard with accurate account information
  • Your failure to keep your password or account details safe and confidential

Jurisdiction

The limitations of CodeCard's liability to You, listed in paragraph 13.1, will apply whether or not CodeCard has been informed, or should have known the possibility of any such losses. Also, limitations that are legal in terms of Your jurisdiction will apply to You.

Information Provided on CodeCard Websites

We are not and cannot be held responsible for:

  • Material written by Users, especially that published on blogs and/or forums. Furthermore, we do not approve of such material and we reserve the right to monitor such publications, as well as to respond, comment, edit, refuse to publish or remove any content from blogs and/or forums at our absolute discretion. However, the failure to remove such material does not indicate either approval or acceptance of it by Us
  • The accuracy, synchronization, or reliability of any information/statement on CodeCard Websites, nor will we become accountable/responsible for any statements, advice, and/or opinions expressed by users on blogs and forums (except in cases where it is imposed/required by law). If you have any claim or opposition arising from the actions and/or statements of another user, you agree to act against the said user and not against Us
  • The quality, the accuracy of the performance of CodeCard Websites, except in cases that are imposed/required by law. However, we will make every reasonable effort to provide our services in the most professional way
  • Any false misrepresentations we make and for any death or personal injury caused by Our negligence. We are neither competent nor responsible and bear no responsibility to You for any other loss/damage that You or any Third Person may suffer as a result of the use, or connection with the use, of CodeCard Websites.

14. Continuous Improvement Process

The quality of our services and products is the focus of CodeCard's attention, therefore our system is subject to a Continuous Improvement Process (CIP) both in technological aspects and in terms of our product design.

15. Comments

As part of Our commitment to excellence, CodeCard welcomes all Your comments and suggestions regarding some or all of the Terms and Policies stated in relation to these terms and provisions. 16. Changes and Updates to the Terms

CodeCard reserves the right to update the Terms and Conditions at any time, taking into account legal, industrial, or other changes to the current regime. The most recent update of the agreement is available on the website "codecard.cloud". If an update significantly changes Your rights, you will be informed within a reasonable time before the update takes effect. You can reject any changes made to these Terms by discontinuing the use of the website, products, and services of CodeCard. We encourage all Users to fully read this agreement and review it regularly. The documents are valid from the date of their last update.

By using our website and services, you acknowledge that you have read, understood, and agree to be bound by all the terms outlined in this Terms of Service.
